In contrast, the fee for an Film Adoption or Sale of Book Agreement, called the Assignment Fee or Purchase Price, is significantly higher because it involves the actual transfer of ownership rights.

If the potential purchaser decides not to proceed with the project after entering into an Option Agreement, the only loss incurred is the Option Fee paid to the owner.

However, in the case of an Film Adoption or Sale of Book Agreement, the producer becomes the ultimate owner, and if the project fails, they would bear the full loss, including the Assignment Fee (and Option Fee if paid), which is substantially higher than the Option Fee.
